Glasshouse Service Agreement

Master terms

1. Parties. This agreement is between Nuvori LLC, doing business as Glasshouse by Dr. Ben Glass ("Glasshouse," "we"), and you, the client who purchases a Glasshouse plan or signs an order with us ("you"). Paying through our checkout, or signing an order form, means you accept these terms.
2. Services. We provide the services in the plan you choose: website build or migration, monthly website and search work, strategy and any add-ons, as described in the schedules below. Strategy recommendations are included with every plan.
3. How the work runs. Work follows our process: onboarding, a kickoff call, then build and monthly care. Each month we decide together which pages and tasks come next, in priority order.
4. What you provide. Timely access to your domain, hosting, current website, Google Business Profile and other accounts we need, plus photos, facts and approvals. We aren't responsible for delays caused by missing access or late feedback. You confirm you have the right to use everything you give us.
5. Your approval. Nothing goes live until you approve it. You're responsible for the accuracy of the facts, prices, credentials and claims on your site, including any rules that apply to your industry.
6. Ownership. Once paid for, your domain, content, site files and pages are yours. We keep the right to reuse our general methods, templates and code that aren't specific to your business, and to list your business as portfolio work unless you opt out in writing.
7. Fees and payment. Fees are as shown at checkout and in the schedules below. Monthly fees are billed automatically to your card on the same day each month. Work may pause on any payment more than 15 days late. Promo or friend-rate codes apply only as stated when issued.
8. Term. Plans run for the starting term in their schedule, then continue month to month until either of us cancels.
9. Cancelling. After the starting term, either of us may cancel with 30 days' written notice (email or text counts). Leaving during a starting term follows the early-exit terms in the schedule. Fees already paid aren't refunded except as stated below.
10. When you leave. Within 14 days of your final payment, we hand over your site files, logins we created for you, and instructions for moving hosting. You keep everything built and paid for.
11. No guaranteed rankings. Search engines and AI tools control their own results. We commit to doing the work described and reporting on it honestly; we don't guarantee specific rankings, traffic, calls or revenue.
12. Third-party costs. Domain renewals, paid tools, ad spend, text-messaging fees, stock media and similar costs are yours, paid directly or passed through at cost with your approval.
13. Confidentiality and data. We keep your business information private and use it only to do this work. We don't collect, store or publish your customers' personal or health information. Data you share for a local data page is used only in anonymized, aggregated form, and you approve every figure before it's published.
14. Limit of liability. Our total liability under this agreement is limited to the fees you paid in the 3 months before the claim. Neither of us is liable for indirect or lost-profit damages.
15. Changes. Changes to scope or plan are made in writing (email counts). Moving to a higher plan takes effect on your next billing date; moving lower takes effect after your starting term.
16. Governing law. California law governs this agreement. We'll try to resolve any dispute by talking first, then by mediation in Alameda County before any court action.
17. Whole agreement. This agreement, its schedules, and any order form or proposal you accept are the whole agreement between us. If a signed order form says something different, the order form wins.

Schedule A: Build as you grow

1. Kickoff fee: $500, paid at checkout. It covers moving you to fast hosting, launching your core pages (home, about, services, contact) or moving up to 10 pages from your current site, a Google Business Profile cleanup, and a growth roadmap session. Core pages go live within about 7 days of receiving your access and materials.
2. Monthly plan. Tend, Grow or Flourish (Schedule C). Your first monthly payment is charged 30 days after kickoff.
3. Starting term: 6 months, then month to month.
4. Leaving early. If you cancel before month 6, you choose one: pay the remaining months of the starting term, or pay 50% of them, capped at the Schedule B price for a site of your size. Either way, you keep your site and everything built so far.
5. Switching to pay once. You can pay off the rest of your build at any time at the Schedule B price, minus the kickoff and 25% of the monthly fees you've paid.

Schedule B: Pay once

1. Payment: 50% at checkout, 50% at launch. Launch is the day you approve the site to go live, or 14 days after we deliver the final draft if you haven't responded.
2. Timeline: about 1 to 2 weeks after we receive your access and materials.
3. Included: search setup, Google Business Profile cleanup, a growth roadmap session, two rounds of revisions, and 30 days of fixes after launch.
4. Extra pages or revisions beyond scope are $100 per page or quoted in advance.
5. Monthly care is optional. If you add a plan from Schedule C, its starting term is 3 months.

Schedule C: Monthly plans

Unused pages don't roll over past the next month. Add-ons such as local data pages (from $750 per page), ads setup and management, automations and second-language pages are quoted in writing before work starts.

Schedule D: Glasshouse Partnership

1. Term: 12 months. Price: $7,500, paid in full or as 12 monthly payments of $625.
2. Included: a full website with new pages added through the year, lead capture with instant text follow-up, online booking and review requests, and a monthly strategy session and report. Funnels, webinars and ads setup are add-ons.
3. Leaving early: the remaining monthly payments stay due unless we agree otherwise in writing. You keep everything built so far.
